Terms of Service

These Terms of Service ("Terms") govern your access to and use of innercouncil.ai (the "Site") and the products and services offered by Inner Council LLC ("The Personal Council," "Inner Council," "we," "us," or "our"). By using the Site or purchasing from us, you agree to these Terms. If you do not agree, do not use the Site or Services.
1. The Service
Inner Council provides custom, AI-assisted audio mentorship sessions and related digital materials (the "Services"). Each order is produced based on the information you provide and is delivered as digital audio file(s) and accompanying materials.
Our products are custom, made-to-order digital goods. Typical delivery is within 72 hours of receiving your completed intake information. Delivery timelines are estimates, not guarantees.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services.
3. Orders, Pricing, and Payment
- Prices are listed on the Site and are one-time charges unless stated otherwise.
- Payment is processed by our payment processor, Stripe, Inc. We are the seller and merchant of record. By purchasing, you also agree to Stripe's terms.
- We may change prices and offerings at any time, but changes will not affect orders already placed.
4. Custom Content You Provide
To produce your session, you may submit goals, personal context, and uploaded materials such as voice recordings, letters, images, or written memories.
You represent and warrant that:
- You own or have all necessary rights, licenses, and consents to submit the materials you upload;
- For any material featuring another identifiable person (including a deceased loved one), you have the legal right and any required permission to use their voice, likeness, image, and words for this purpose;
- Your materials do not infringe any third party's intellectual property, privacy, or publicity rights, and are not unlawful, defamatory, or harmful.
You grant us a limited license to use your submitted materials solely to produce and deliver the Services you ordered.
5. License to Your Deliverables
Upon full payment, we grant you a non-exclusive, non-transferable license to use the audio files and materials we deliver for your personal, non-commercial use. You may not resell, redistribute, publicly broadcast, sublicense, or commercially exploit the deliverables without our written permission.
6. Intellectual Property; Historical and Public Figures
The Site, its design, text, graphics, frameworks, and original audio productions are owned by us or our licensors and are protected by intellectual property laws.
Historical, legendary, and public figures referenced in the Services are used for educational and inspirational purposes only. Mentor voices and archetypes are creative, AI-assisted interpretations. No affiliation with, sponsorship by, or endorsement from any referenced individual, their estate, or any third party is claimed or implied.
7. Nature of the Service — Not Professional Advice
The Services are for personal development, motivation, and inspiration. They are not medical, psychological, legal, financial, or other professional advice, and do not replace consultation with a qualified professional. You are solely responsible for decisions you make. If you are in crisis or need professional help, please contact a qualified provider.
8. Acceptable Use
You agree not to: misuse the Site; upload unlawful or infringing material; attempt to gain unauthorized access; interfere with the Site's operation; or use the Services to harm, harass, impersonate, or deceive others.
9. Refunds
Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.
10. Disclaimers
The Site and Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your expectations or be uninterrupted or error-free.
11. Limitation of Liability
To the fullest extent permitted by law, Inner Council LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Site or Services. Our total liability for any claim will not exceed the amount you paid us for the order giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Inner Council LLC and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms or your submitted materials, including any claim that your uploaded content infringed a third party's rights.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Utah County, Utah, and you consent to that jurisdiction.
14. Changes to These Terms
We may update these Terms at any time. The updated version takes effect when posted with a new "Last updated" date. Continued use after changes means you accept them.
